1. Acceptance of Terms
By accessing or using ContractCheck (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Not Legal Advice
ContractCheck is not a law firm and does not provide legal advice, legal opinions, legal representation, or any service requiring a license to practice law. The Service is an automated, informational tool that uses artificial intelligence to highlight potential areas of interest in contracts. Output may be incomplete, inaccurate, or wrong. Nothing produced by the Service creates an attorney–client relationship. Always consult a qualified attorney in your jurisdiction before signing, modifying, or relying on any contract.
3. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that occurs under your account. You must be at least 18 years old to use the Service.
4. Plans, Payments, and Refunds
The Service offers a free tier, one-time scan purchases, and a recurring subscription. Payments are processed by Stripe, Inc. You authorize us (and Stripe) to charge your chosen payment method for the plan you select, including recurring charges for subscriptions until you cancel. Fees are non-refundable except where required by law. Subscriptions renew automatically; you may cancel at any time from your billing page, and access continues until the end of the current billing period.
5. User Content
You retain all rights to contracts and documents you upload (“User Content”). You grant us a limited, worldwide, royalty-free license to process, store, and transmit your User Content solely to operate and improve the Service for you. You represent that you have the right to upload any User Content and that doing so does not violate confidentiality obligations or applicable law.
6. AI Processing
User Content is sent to third-party AI providers solely to generate your scan output. We do not permit those providers to train their models on your User Content. AI output may contain errors, omissions, or hallucinations and must not be relied on as a substitute for professional legal review.
7. Acceptable Use
You will not (a) upload content you do not have the right to share; (b) attempt to reverse engineer or disrupt the Service; (c) use the Service to violate any law or third-party right; or (d) resell or white-label the Service without our written consent.
8. Intellectual Property
The Service, including its software, design, and branding, is owned by ContractCheck and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SCAN OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTCHECK AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50.
11. Indemnification
You will indemnify and hold ContractCheck harmless from claims arising out of your User Content, your use of the Service, or your violation of these Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Sections that by their nature should survive termination will survive.
13. Changes
We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will be resolved exclusively in the state or federal courts located in Delaware.
